1. Agreement to terms

These Terms and Conditions (“Terms”) form a binding agreement between you and Hatteras Boonetown LLC (“we”, “us”, “our”) governing your use of CinaSeek AI, including our website at www.cinaseekai.com and our mobile applications (together, the “Service”).

By creating an account, accessing or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. By using it, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are under 18, you may use the Service only with the involvement and consent of a parent or legal guardian.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Your account

To access certain features you must create an account. You agree to:

• Provide accurate and complete information when registering
• Keep your account information current
• Keep your password confidential and not share it with others
• Notify us promptly at williamcreynolds83@gmail.com of any unauthorised use of your account

You are responsible for all activity that occurs under your account. We are not liable for any loss resulting from unauthorised use of your account.

We may suspend or terminate your account if you breach these Terms.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorised access to the Service, other accounts, or our systems
• Interfere with, disrupt or overload the Service or its infrastructure
• Use automated means, including bots, scrapers or crawlers, to access the Service without our written permission
• Reverse engineer, decompile or attempt to extract the source code of the Service
• Resell, sublicense or commercially exploit the Service or its output without our written permission
• Submit content that is unlawful, abusive, defamatory, infringing, or that violates the rights of others
• Use the Service to generate content that is harmful, deceptive, or intended to mislead others
• Circumvent any rate limits, usage restrictions or access controls
• Remove or obscure any proprietary notices in the Service

We may investigate suspected violations and take any action we consider appropriate, including suspending access and reporting to law enforcement.

5. AI-generated content

The Service uses artificial intelligence to generate search results, recommendations and other output (“AI Output”).

You acknowledge and agree that:

• AI Output may be inaccurate, incomplete, outdated or misleading
• AI Output is generated automatically and is not reviewed by us before it is shown to you
• The same or similar queries may produce different results for different users or at different times
• AI Output does not constitute professional advice of any kind
• You are responsible for evaluating the accuracy and suitability of AI Output before relying on it

You should not rely on AI Output as the sole basis for any decision. We make no warranty as to the accuracy, reliability or completeness of AI Output.

6. Your content

You retain ownership of the content you submit to the Service, including your search queries and prompts (“User Content”).

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, reproduce, process and transmit that content solely for the purpose of operating, maintaining and improving the Service, including transmitting it to our third-party AI provider for processing.

You represent that you have the necessary rights to the User Content you submit and that it does not infringe the rights of any third party.

7. Intellectual property

The Service, including its design, code, text, graphics, logos and the CinaSeek AI name and branding, is owned by Hatteras Boonetown LLC and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use, subject to these Terms. This licence does not include any right to copy, modify, distribute or create derivative works from the Service.

All rights not expressly granted are reserved.

8. Third-party services

The Service integrates with and depends on third-party services, including AI providers, hosting providers and analytics providers. We are not responsible for the availability, accuracy or practices of these third parties. Your use of the Service may also be subject to their terms.

9. Availability and changes to the Service

We aim to keep the Service available but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, technical issues or circumstances beyond our control.

We may modify, suspend or discontinue any part of the Service at any time, with or without notice. We may also introduce new features or impose limits on existing ones.

We are not liable to you for any modification, suspension or discontinuation of the Service.

10. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, error-free, or that defects will be corrected.

11. Limitation of liability

To the fullest extent permitted by law, Hatteras Boonetown LLC and its officers, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to your use of or inability to use the Service, whether based in contract, tort, negligence, strict liability or any other legal theory, and whether or not we were advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve months preceding the claim, or one hundred US dollars (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Hatteras Boonetown LLC and its officers, employees, agents and affiliates from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your User Content, or your breach of these Terms or any applicable law.

13. Termination

You may stop using the Service and delete your account at any time from your account settings.

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, if we suspect fraudulent or unlawful activity, or if we discontinue the Service.

On termination, your right to use the Service ends immediately. Sections 6, 7, 10, 11, 12 and 15 survive termination.

14. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on this page and update the “Last updated” date. If the changes are material, we will give you notice by email or through an in-app notice before they take effect.

Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

15. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Wake County, North Carolina, and you consent to the personal jurisdiction of those courts.

16. General

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• No waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
